Change in the interpretation of the Civil Code

Legally most significant

Through a constitutional complaint, we overturned the existing interpretation of the Supreme Court of the Czech Republic, which, under the civil law regime, did not allow for the valid conclusion of a contract on the future transfer of future residential or non-residential units (i.e., before they were surveyed and the shares in the common parts determined).

From a legal perspective, we negotiated a lease agreement (with a German owner) for the premises of the former Prefa industrial site (situated between the Troja Bridge and the Barikádníků Bridge). The lease agreement also included a call option (right of purchase) in respect of the premises. This right was subsequently exercised by way of a transfer of the premises to Skanska Commercial Development Europe B.V., accompanied by a parallel acquisition of a portion of the premises by a Cypriot fund (from Skanska), which was likewise our client.

Remedies of Defects in a Shareholding/Real Property

The most effective due diligence

In the course of a legal due diligence of a company being acquired by our client, we identified a number of material deficiencies (including: non-payment of the full purchase price, outstanding obligations under a planning agreement with the municipality, impossibility of transferring easements, missing set-offs, failure to provide an intra-group loan, third-party ownership of the transformer station, incorrect dating of documents, erroneous VAT accounting, registered seats of former tenants still located at the property, failure to file documents with the Collection of Deeds of the Commercial Register, lease agreements with unclear subject matter, unfinished installation of photovoltaic panels, etc.). We succeeded in resolving 99% of these issues.

Conflict of Laws

The most legally complex

We successfully secured, for our client, access to a family house across a neighbouring plot (part of the Agricultural Land Fund) by means of the legal instrument of a publicly accessible purpose-built road. The matter was complicated in particular by the conflict between regulations protecting necessary access rights and those protecting agricultural land and the environment.

In another case, we successfully defended the rights of a landowner against a determination by the road authority that a publicly accessible purpose-built road existed on his land (including the successful annulment of two preliminary injunctions).

The Longest

For our client, we successfully recovered a contractual penalty for delay in the delivery of a construction project, including default interest and reimbursement of costs, even after a period of 10 years.

Within 72 hours, we prepared and filed with the court detailed objections against a bill of exchange payment order (směnečný platební rozkaz) for the payment of CZK 100 million. The application for the payment order had been filed by one of the most prominent attorneys in the Czech Republic. In the following days, a settlement agreement was concluded with the counterparty, under which our client, instead of paying CZK 100(+) million, discharged his obligation by paying CZK 2 million within a reasonable period.

The Fastest II

After hidden defects appeared in the real property acquired by our client (the purchaser), we filed a claim served solely on the seller, which compelled the seller to immediately repurchase the property, with a simultaneous refund of the purchase price together with compensation for damages.

Change of Circumstances

COVID I

In the early days of COVID period, we attended a meeting at the bank together with our client and the seller for the signing of loan documentation. This was at a time when the situation appeared highly dramatic and uncertain, and no one knew how the epidemic would further develop. For this reason, we made use of the application of the clausula rebus sic stantibus (change of circumstances), as a result of which we secured a substantial reduction of the purchase price for our client.

Creative Arbitral Award

COVID II

During the COVID period, we brought a claim against an Italian tenant for vacating a building in Prague’s Old Town and for payment of rent. The court fully upheld the claim for eviction, while the claim for payment of rent was successful to the extent of 75 %. A notable aspect of the case was the conflict with the so-called “COVID legislation”. The outcome was a highly creative arbitral award.

CNB Licence Required?

Unexpected

We achieved an interpretation of the crowdfunding regulations that enabled our client to conduct a specific type of business, similar to crowdfunding, without requiring a licence from the Czech National Bank (ČNB) under Regulation (EU) 2020/1503 of the European Parliament and of the Council of 7 October 2020. This interpretation was successfully advanced against the views of well-established lawyers as well as the initial scepticism of certain members of the CNB. Nevertheless, compliance with other applicable legal regulations remains necessary.
